These Terms and Conditions (“Terms”) govern your use of Optima Suite
(“the Platform”), a customer relationship management (CRM) software operated by
Optima Suite
(“we,” “us,” or “our”). By accessing or using the Platform, you (“Client” or “you”) agree to comply with these Terms. If you do not agree, you may not use Optima Suite.
By creating an account or using Optima Suite, you confirm that:
You are at least 18 years old and legally capable of entering into binding agreements. You have read, understood, and agree to these Terms and our Privacy Policy.
Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
Accuracy: Provide accurate and complete information during registration and update it promptly.
Unauthorized Use: Notify us immediately at [email protected] of any unauthorized access or breaches.
Fees: Subscription fees are outlined on our website or in your service agreement. Prices are in GBP and exclude VAT (if applicable).
Payment Terms: Fees are due monthly/annually in advance.
Refunds: Fees are non-refundable except as required by UK law.
Auto-Renewal: Subscriptions renew automatically unless cancelled 30 days before the renewal date.
License: We grant you a limited, non-exclusive, non-transferable license to use Optima Suite for internal business purposes.
Restrictions: You agree not to: Reverse-engineer, modify, or distribute the Platform .Use the Platform for unlawful purposes or to infringe third-party rights. Overload or disrupt the Platform’s infrastructure.
Client Data: You retain ownership of all data uploaded to Optima Suite (“Client Data”). You warrant that you have lawful rights to process such data. GDPR/UK GDPR
Compliance: You are responsible for ensuring Client Data is collected and processed in compliance with applicable data protection laws.
Our Role: We act as a data processor for Client Data under the UK GDPR. For details, see our Privacy Policy.
Optima Suite integrates with third-party tools (e.g., payment gateways, email/SMS providers). You agree to comply with their terms, and we are not liable for their services.
By You: Cancel your subscription via your account dashboard or by contacting us.
By Us: We may suspend or terminate your account for: Material breaches of these Terms. Non-payment of fees. Illegal or harmful use of the Platform.
Effect of Termination: All licenses end immediately, and you must cease using Optima Suite.
“As Is” Basis: Optima Suite is provided without warranties of any kind. We do not guarantee uninterrupted, error-free, or virus-free service.
Third-Party Risks: We are not liable for losses caused by third-party services (e.g., payment processors).
To the fullest extent permitted by UK law, we are not liable for:
Indirect, incidental, or consequential damages (e.g., lost profits).Loss or corruption of Client Data (unless caused by our gross negligence).
Jurisdiction: These Terms are governed by the laws of England and Wales.
Dispute Resolution: Parties agree to negotiate disputes in good faith. Unresolved disputes may be brought to courts in England.
We may update these Terms periodically. Changes will be posted on our website, and continued use of Optima Suite constitutes acceptance.
